Terms of service

The service
Noupad (noupad.com) is a client-facing project tracker with built-in scope protection for digital agencies and freelancers: the agreed scope lives on a trunk, out-of-scope requests become priced branches, and your client follows it all on a shareable page. By creating an account you agree to these terms.
Your account
You are responsible for keeping your credentials safe and for what happens under your account. One person per account — your organization can have multiple members, each with their own. You must be able to enter into a contract to use Noupad.
Trial, plans, and billing
Every paid plan starts with a 14-day free trial — no card required, one trial per organization. If the trial ends without a subscription, your data stays put; you just cannot add new work until you subscribe. Paid plans are billed monthly or yearly through Polar, our merchant of record, which processes payment and handles applicable VAT. You can cancel at any time, and paid features stay active until the end of the period you paid for. Prices can change, but never mid-term — we announce changes before your next renewal. Current plan limits are listed on the pricing page.
Your content
Your project data is yours. You grant us only the license needed to run the service: storing your content, displaying it back to you, and delivering it to the people you choose to share it with. We claim no other rights, and we never use your client relationships for our own outreach.
Client share pages
Share pages publish exactly what you choose to your client, behind a private link you can rotate or lock with a passcode. You are responsible for the accuracy of what you publish there and for having the right to share it. Prices you attach to branches are your prices — Noupad displays them, it does not set them.
Acceptable use
Do not use Noupad to break the law, infringe anyone’s rights, send spam, or probe or breach the service’s security. We may suspend or close accounts that do — with a warning first, unless the situation makes that impossible.
Availability and changes to the service
We work to keep Noupad fast and available, but the service is provided “as is”, without a warranty of uninterrupted operation. We may evolve, replace, or retire features; if a change removes something you rely on, we will give reasonable notice.
Liability
To the extent the law allows, our total liability is capped at the amounts you paid us in the twelve months before the claim, and we are not liable for indirect damages such as lost profits. One clarification worth spelling out: Noupad documents scope agreements between you and your clients — the underlying contracts, and the work itself, remain strictly between you and them.
Termination
You can delete your account at any time from settings; your data is then removed as described in the privacy policy. We may terminate accounts that violate these terms. If we ever discontinue the service, you will get reasonable notice and time to take your data with you.
Governing law
These terms are governed by the law of Bulgaria, where Noupad is based. If mandatory consumer-protection rules of your own country grant you additional rights, those rights are unaffected.
Changes to these terms
We may update these terms as the product evolves. Material changes are announced by email or in the app before they take effect; continuing to use Noupad after that means you accept them.
